What video card are you using?

PSU: thermaltake 420w

Please post the amperage limits (A) on the +12V voltage rails.

What is your current BIOS Version?

-----------------

In case you have Turbo-Switch Cards installed, take them out.

Clear CMOS with your PSU disconnected from A/C power after that.  Then load "Optimized Defaults" in BIOS.  Manually set the memory clock speed to DDR3-1066 for testing and see what happens.

Look on the PSU sticker.  And write down the numbers.

The option is called "FSB/Memory Ratio".

Test with only one memory module @DDR3.1066.

Okay, sorry, with that CPU you can't go any higher than DDR3-800 anyway.  Nevermind.

Can you try a different PSU?

Have you tried clearing the CMOS yet?

The problem is not the wattage.  The amperage limit on the +12V power rails is rather low (only 18A).  Up-to-date 400-450W PSUs can deliver up to 30A.  Your PSU seems to be rather old.  18A should theoretically be enough, if the PSU is really able to deliver that much.

------------

Another problem could be the CMOS Battery.  Try if replacing it changes anything.

A PC system with a Radeon 4670: +12V~26A PSU minimum recommended.

As Jack said ignore the watts as there is a huge difference in +12V amps between a good PSU & a crappy one of equal watts.

 Example of very good ones: Corsair CX400W +12V~30A, VX450W +12V~33A, TX550W +12V~41A

Edit: Testing with another old PSU with insufficient +12V amps doesn't prove anything, you need to test with one that can provide at least 25 amps and buy one with at least 30 amps so there is not a great strain on the PSU.
